1. Acceptance of Terms

By accessing or using LLMWate ("the Service"), you agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between you and LLMWate. If you do not agree to these terms, please do not use the Service. Your continued use of the Service following any modifications indicates your acceptance of the updated terms.

2. Service Description

LLMWate provides access to AI model inference services via a unified API gateway. Our platform enables developers to access multiple AI model providers including OpenAI, Anthropic, Google, DeepSeek, and others through a single OpenAI-compatible interface.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. While we strive for 99.9% uptime, we do not guarantee uninterrupted or error-free operation. Scheduled maintenance windows will be communicated in advance when possible.

3. Account Registration and API Keys

To use the Service, you must create an account and maintain valid API credentials. You are responsible for:

• Keeping your API keys confidential and secure at all times
• All activities that occur under your account and API credentials
• Immediately notifying us of any unauthorized use of your account or API keys
• Ensuring your account information remains accurate and up to date

API keys are personal to each account and must not be shared with unauthorized third parties. You may use API keys across multiple applications within your organization, but each shared key remains your responsibility.

4. User Responsibilities

You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. Prohibited activities include:

• Using the Service for any illegal, harmful, or fraudulent purposes
• Attempting to gain unauthorized access to any systems or data
• Interfering with the normal operation of the Service or its infrastructure
• Reverse engineering, decompiling, or disassembling any part of the Service
• Using automated tools or bots to access the Service without prior written approval
• Reselling, redistributing, or sublicensing access to the Service without authorization
• Submitting content that infringes on the intellectual property rights of others

5. Fees and Payments

All fees for the Service are clearly displayed on our pricing page. Payments are processed in USD and are non-refundable unless explicitly stated in our Refund Policy. By subscribing to a paid plan, you authorize us to charge the applicable fees to your selected payment method.

Usage-based pricing applies to Pay-as-you-go plans. You will be charged based on actual token consumption at the rates specified for each AI model. All charges are final once a billing cycle completes.

6. Service Level Agreement

We commit to maintaining the following service availability targets:

• Starter Plan: 99.5% monthly uptime
• Starter Premium: 99.9% monthly uptime
• Enterprise Plan: 99.95% monthly uptime with dedicated support

Service credits for downtime will be calculated and applied automatically to your next billing cycle. Credits are limited to 10% of your monthly subscription fee for any single month.

7. Intellectual Property Rights

LLMWate retains all intellectual property rights in the Service, including the website, API design, documentation, and branding. You retain ownership of any data and content you submit through the Service. By using the Service, you grant us a limited license to process your requests to provide the Service.

The outputs generated by AI models through our Service may be subject to the underlying model providers' terms of service. You are responsible for ensuring your use of AI-generated content complies with all applicable terms and laws.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LLMWATE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, alteration, or deletion of your transmissions or data

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless LLMWate and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of a third party.

10. Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, without prior notice, for any reason, including but not limited to:

• Violation of these Terms of Service
• Fraudulent or illegal activity
• Non-payment of fees or charges
• Abuse or misuse of the Service
• Threats or harm to our infrastructure or other users

Upon termination, your right to use the Service will immediately cease. Any outstanding fees remain payable. You may request account deletion by contacting our support team.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which LLMWate operates, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located within that jurisdiction.

12. Dispute Resolution

Any dispute arising from or relating to these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiations. If the dispute cannot be resolved through negotiations within 30 days, either party may pursue legal remedies through the courts.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated terms on our website and updating the "Last updated" date. Your continued use of the Service after any modifications constitutes acceptance of the updated Terms.
